Scope of Work

InspireXP Design Studio (InspireXP) will provide design services to the Client as specified in the Project Proposal. InspireXP will use its best efforts to complete the Project within the agreed-upon timeline and budget.

Fees and Payment Terms

The Client agrees to pay InspireXP the fees specified in the Project Proposal. The Client will pay a deposit of 50% of the total fee before the design work begins. The Client will pay the remaining balance upon completion of the design work.

Intellectual Property Rights

InspireXP will own the intellectual property rights to all design work created for the Client, unless otherwise agreed upon in writing. The Client will have a non-exclusive license to use the design work for its own business purposes.

Confidentiality

InspireXP and the Client agree to keep all confidential information confidential. Confidential information includes any information that is not publicly known, including but not limited to design concepts, trade secrets, and customer lists.

Dispute Resolution

Any disputes arising out of this agreement will be resolved by binding arbitration in accordance with the rules of the country (India). The arbitration will be held in Kolkata, West Bengal, India.

Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings between the parties, whether written or oral.

Governing Law

This agreement will be governed by and construed in accordance with the laws of the State of India.

Severability

If any provision of this agreement is held to be invalid or unenforceable, such provision will be struck from this agreement and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any provision of this agreement will be effective unless in writing and signed by both parties.
